SRPP, along with Latham & Watkins LLP (lead counsel), represented One Rock Capital Partners, LLC (“One Rock”) in its acquisition of Therm-O-Disc Inc. (the “Business”), a subsidiary of Emerson Electric Co. (“Emerson Electric”) (the “Transaction”). Therm-O-Disc is a leading designer and manufacturer of safety-critical sensors, thermal cutoffs, and sealed connecting components for HVAC, appliance, water heater, industrial, aerospace and defense, and transportation applications. Therm-O-Disc, headquartered in Mansfield, Ohio, has approximately 4,000 employees worldwide including Thailand.
One Rock, the buyer in this transaction, is a private equity firm with extensive investment experience in chemical and process industries, specialty manufacturing and healthcare products, and food manufacturing and distribution. One Rock has invested in the Business of Emerson Electric, which designs and manufactures innovative sensing and hermetic devices, in order to expand its growing business.
Latham & Watkins LLP is an American multinational law firm. Founded in 1934 in Los Angeles, California, Latham & Watkins is the second-largest law firm in the world by revenue. As of 2021, Latham & Watkins is also one of the most profitable law firms in the world.
