SRPP advised DHIPAYA GROUP HOLDINGS PUBLIC COMPANY LIMITED (TIPH) on its establishment of a new flagship company for investment in insurance supported business, TIP ISB Co., Ltd. ("TIP ISB")
Also, SRPP advised TIPH on its acquisition through TIP ISB of 75% shares in DP Survey and Law Co., Ltd., a reputable claim management platform and Amity Insurance Broker Co., Ltd., an insurance broker with substantial client platform.
We led the legal due diligence exercise on both target companies, as well as negotiating and drafting the relevant share purchase agreements, shareholders agreements, article of association, and other relevant documents required for the closing of these share acquisition transactions. In addition, we aided TIP in submitting post-notification filings to the Office of Trade Competition Commission for these transactions.
