SRPP is proud to have acted as the Thai legal advisor to Lapp Holding Asia Pte Ltd, a German leading supplier of integrated solutions and branded products in the field of cable and connection technology and a member of Lapp Group, in relation to its acquisition of 50% equity stake in the JJ-Lapp joint venture making to Lapp Holding Asia Pte Ltd the sole owner of the venture.
Founded in Stuttgart, Germany, Lapp Group has operated since 1959. The company’s portfolio includes standard and highly flexible cables, industrial connectors and screw technology, customised system solutions, automation technology and robotics solutions for the intelligent factory of the future, as well as technical accessories. Lapp’s core market is in the industrial machinery and plant engineering sector. Other key markets are in the food industry, logistics, as well as the energy and the mobility sector.
The JJ-LAPP joint venture was incorporated in 2004 and has grown ever since from a single-digit million-dollar cable distributor into a leading connectivity solutions provider with over 200-million-dollar turnover across ASEAN. The transaction aims to enable a more streamlined and optimised supply-chain set-up resulting in greater efficiency in the operation of the business.
Led by Allen & Gledhill LLP, who acted as the international deal counsel on this transaction; where, we, SRPP, provided comprehensive legal support throughout the transaction from a Thai law perspective, including advising and offering creative solutions on the transaction structure, revising the share purchase agreement, and assisting in closing of the transaction, ensuring a smooth and efficient process for all parties involved.
